1. Acceptance of these Terms
These Terms are an agreement between you and OPENSTART TECHNOLOGY LIMITED ("we", "us", or "our") governing your use of the InOneAPI website, the management console, and the API services (together, "the Platform"). By registering, signing in, calling our interfaces, or otherwise using the Platform, you confirm that you have read, understood, and agreed to these Terms, together with the Platform's Privacy Policy, billing rules, and service notices.
You must ensure that you have the authority to enter into these Terms on behalf of your company or other organization. Where an account is registered in the name of an organization, that organization is responsible for all activity carried out under that account.
2. Accounts
Registration Requirements
- Provide a true, accurate, and complete email address and account information, and update it promptly when anything changes.
- You must be an adult or otherwise a party with full capacity for civil conduct, and able to independently bear payment liability for the fees you incur.
- A single email address used with different sign-in methods (email and password, Google, GitHub) results in separate, independent accounts. We never merge or link accounts automatically based on email address.
Account and Key Security
- You are responsible for all calls made under your account, your API Keys, and your sub keys, including unauthorized use by third parties.
- Store keys on your servers or in a protected secrets management system. Never write them into front-end code, public repositories, client installation packages, or logs.
- Use separate, isolated keys for different applications, environments, and Agents, and configure model allowlists, budgets, and rate limits as needed.
- If you discover credential leaks, abnormal calls, or a compromised account, revoke and rotate the affected keys in the console immediately and notify us at support@inoneapi.ai. You bear any additional loss caused by your failure to act promptly.
Account Closure
You may apply to close your account once the settlement conditions are met. Fees incurred before closure, invoices already issued, and statutory retention obligations are not waived by closing the account.
3. What the Platform Provides
The Platform provides model access and routing capabilities for businesses, including:
- Calling text, image, video, and audio models from multiple model providers through one unified interface.
- Smart routing and failover based on price, latency, throughput, error rate, and availability, which reduce the risk of interruption when something goes wrong. Please note that we do not promise service that "never interrupts".
- Request-level metering, itemized bills, and cost analysis, with token counting implemented locally in line with official provider algorithms.
- Access control, budgets, and model restrictions across workspaces, projects, members, and sub keys.
- Request-level
X-Gateway-Trace-ID, plus timing, retry, token, and input/output diagnostics. - Abnormal traffic detection, active circuit breaking, and alert notifications.
We reserve the right to add, adjust, or retire models and provider channels, and we may change the available scope and pricing because of upstream changes. The models, parameters, and unit prices that are actually available are those shown on the model detail pages in the console and returned by our interfaces.
4. What the Platform Does Not Do
- The Platform is an access and routing layer. It is not the developer of the models, and it does not substantively review or modify your business content.
- The Platform applies zero content logging as a uniform standard: prompts and model responses are streamed and counted in memory and are never written to a request-log database. This is the Platform's standard operating mode. It does not change how model providers handle content during inference, and it does not relieve you of your own compliance obligations on their side.
- We do not provide legal, compliance, or industry-regulatory advice. Whether the Platform suits your business scenario is for you to judge, and you bear the responsibility for that judgment.
5. Acceptable Use
You undertake to use the Platform in accordance with applicable law, these Terms, and the terms of our upstream providers. You must not:
- Generate, reproduce, or distribute content that is unlawful, infringes the rights of others, is deceptive, or endangers public safety.
- Use the Platform to bypass the content safety mechanisms, access restrictions, or usage limits of model providers.
- Carry out unauthorized access, scanning, probing, scraping, interface abuse, or credential theft, or otherwise interfere with the stable operation of the Platform or its upstream providers.
- Use the Platform to develop or train models or services that compete with us, or resell, rent out, or host the Platform's access capabilities at scale, unless otherwise agreed in writing.
- Exploit public model identifiers, routing parameters, or diagnostic information to carry out malicious price benchmarking or probing, or to claim an unfair share of resources at other users' expense.
- Engage in automated malicious calling, retry storms, key sharing, or any other form of resource hoarding.
- Reverse engineer our services, gateway, or console, or remove or falsify branding or metering data.
- Fail to meet your obligations under applicable law in scenarios involving minors.
For generative AI services offered to the public, or for businesses whose content is subject to regulatory requirements, you must complete on your own the assessments, filings and registrations, labeling, and content governance duties that the law requires.
6. Fees and Payment
Billing Model
- Billing is calculated per request, under the actual rules of the model, modality, and channel (input and output tokens, cached tokens, number of images, audio or video duration, per-request charges, and so on). For models billed per request, the input price is displayed as
-so that the same request charge is never counted twice. - Price-first routing selects, among the provider channels for the same model, the channel that is currently available at a lower unit price. It never substitutes a different model.
- Actual fees settle at the unit price of the channel that finally serves each request. You can check the details in the console by project, key, model, and time.
Currency and Top-ups
- Every user has one wallet and one account in a single fixed currency, determined at registration: USD. Switching the interface language later never changes the currency of your account.
- USD wallets are topped up only through Stripe. Prices for each currency are configured independently in every mapping; we perform no exchange-rate conversion at runtime and offer no conversion between wallet currencies.
- The top-up amount, the order currency, and the wallet currency must all match, or the amount will not be credited.
- We retain upstream provider bills in their original currencies for payment reconciliation. Amounts in different currencies are never combined into a single total.
Balances, Arrears, and Taxes
- The Platform is prepaid. Requests are rejected when your balance is insufficient.
- Prices match provider prices with no markup, and exclude taxes that you are required by law to bear. You are responsible for identifying and paying the taxes, currency conversion costs, and bank fees related to your transactions.
- We issue invoices or equivalent settlement documents under the applicable rules; the console documentation governs the details.
Refunds
- Fees for usage that has already been consumed and for invoices that have already been issued are not refundable.
- Where duplicate billing, metering errors, or system faults are caused by the Platform, we will verify the situation and refund the corresponding amount, or apply it against your future fees if you prefer.
- Where mandatory law provides otherwise, that law prevails.
7. Content and Intellectual Property
- The rights in the content you submit through the services, and in the output it produces, belong to you or to the lawful rights holder. We do not obtain ownership of it by providing access.
- You grant us and the providers we engage a limited, non-exclusive technical license used solely to transmit, process, and meter your content and to generate results for you. That license does not extend beyond what is necessary to deliver the services.
- The rights position of output content depends on the terms of the model and provider involved, your input content, and how you use the output. Confirm that you are free to use any output before you use it.
8. Third Parties and Upstream Providers
- Model calls depend on third-party providers whose availability, pricing, content policies, data processing, and retention periods may change at any time and are not within our sole control.
- Before you choose a model and channel, check that the provider's terms meet your business, regional, and compliance requirements. For sensitive workloads, we recommend pinning channels that qualify rather than relying entirely on automatic routing.
- Our recommendations, listings, and metric-based rankings of providers reflect only what the Platform observes. They are not a guarantee or warranty of a provider's service quality or compliance.
- Rights and obligations arising between you and a provider are resolved directly between you and that provider.
9. Service Changes, Availability, and Support
- The Platform is provided on an "as is" and "as available" basis. We use reasonable efforts to keep it running stably, but we do not warrant that it will be uninterrupted, error-free, or responsive within any particular period.
- We may carry out maintenance, upgrades, rate limiting, or the suspension or termination of some functionality. Where your use is affected, we will try to give advance notice through the console, email, or documentation.
- We may throttle traffic, trip circuit breakers, suspend interfaces, or terminate service in situations such as these: suspected unlawful or non-compliant use, risk to the security of the Platform or of upstream providers, abnormal traffic and runaway calls, unpaid fees, and credential leak risk.
- We may adjust free quotas, rate limits, and the way we provide support. Material changes will be announced.
10. Confidential Information
Non-public prices, channels, interface specifications, incident details, and commercial arrangements that you obtain in the course of working with the Platform are confidential information, and you may not disclose them to third parties without our written consent. Content you submit through the services is not our confidential information. The obligations in this section continue to apply after the services end.
11. Indemnification
If we suffer claims, penalties, losses, or reasonable expenses (including attorneys' fees) because you breached these Terms, infringed a third party's rights, breached an upstream provider's terms, or failed to comply with applicable law, you shall indemnify us or bear the corresponding liability as required by law. We will notify you promptly after a claim is brought and may participate in or control the defense where our own interests are involved.
12. Limitation of Liability
- To the maximum extent permitted by law, we are not liable for indirect, punitive, or incidental losses, or for lost profits, business interruption, or loss of data or reputation.
- We are not liable for losses caused by upstream provider changes, network or power failures, force majeure, defects in your applications, or the acts of third parties, although we will use reasonable efforts to help you pinpoint the problem and recover.
- To the maximum extent permitted by law, our aggregate liability under these Terms is limited to the fees you actually paid to the Platform during the 12 months preceding the event that gives rise to the claim.
- These limits do not apply to liability that we may not lawfully exclude or limit, including liability for willful misconduct or gross negligence and statutory consumer liability.
13. Termination
- You may stop using the Platform and apply to close your account at any time.
- We may suspend or terminate your access if you materially or repeatedly breach these Terms, if the law requires it, or where necessary to protect the security of the Platform and its users. We will notify you as the circumstances allow, and in urgent cases we may act first and explain afterwards.
- After the services end you will no longer be able to access your account or its configuration. We retain records for as long as the law requires and handle any remaining data in accordance with the Privacy Policy.
- Where the services are terminated for reasons attributable to us and no unsettled violation exists, unconsumed prepaid balances may be refunded as required by law or as agreed. If termination results from your breach, we may deal with the remaining balance after deducting amounts you owe.
- Sections 7 and 10 through 14 survive termination of these Terms.
14. Notices
We may send notices to your registered email address, as console announcements, or as in-product prompts. Please keep your contact details current. Notices concerning security and billing are deemed delivered at the time you sign in or receive them. To give us formal notice, contact us at support@inoneapi.ai.
15. Changes to these Terms
We may update these Terms for functional, commercial, or legal reasons. For material changes we will notify you a reasonable time before they take effect, by announcement, email, or a prompt at sign-in. Continuing to use the Platform after a change takes effect means you accept that change; if you do not agree, stop using the Platform and apply to close your account.
16. General Terms
- We may assign our rights and obligations under these Terms to an affiliate or to a successor in our business, and we will notify you where your use is affected. You may not assign your account or your obligations under these Terms without our written consent.
- If any provision is found invalid or unenforceable, the remaining provisions stay in effect, and the parties shall replace the affected provision with a valid one that comes closest to the original meaning.
- Our failure or delay in exercising a right is not a waiver of that right.
- These Terms do not create a joint venture, partnership, employment, or agency relationship between the parties.
- The Privacy Policy, billing rules, documentation, and service notices supplement these Terms. In the event of a conflict, mandatory legal requirements and this section prevail.
17. Governing Law and Dispute Resolution
The formation, validity, interpretation, and performance of these Terms are governed by the laws of the People's Republic of China, excluding its conflict of laws rules.
The parties will use their best efforts to resolve any dispute through friendly consultation. If consultation fails, either party may submit the dispute to the people's court of competent jurisdiction at the location of the entity that operates the Platform. Where mandatory law provides otherwise, that law prevails.
